- Formation of, obtaining exemption for and providing continued compliance support with respect to various organizations (i.e., 501(c)(1), 501(c)(3), 501(c)(4), 501(c)(6), 501(c)(12)(A) governmental entities, public charities and private foundations, civic organizations, trade and professional associations, and mutual cooperatives, among others, including dealing with the Internal Revenue Service.
- Obtain, where applicable, exemptions from real and personal property and sales and use taxation and meeting state charitable solicitation requirements.
- Advice with respect to related and unrelated business income planning including with the use of joint venture arrangements, for-profit corporations and limited liability companies.
- Resolution of compliance problems relating to threatened loss of tax exemption, public charity status, imposition of intermediate sanctions and private foundation excise taxes, political activity and lobbying activities, including through administrative negotiations, appeals and where necessary litigation.
- Issues involving charitable giving by individuals, corporations, either on a current basis through the use of restricted and unrestricted gifts or on a deferred basis through the use of split-interest trusts, bargain sale arrangements, pooled income programs and charitable gift annuities.
- Support from other Firm attorneys in additional areas such as health law, trademarks and copyrights, employment law, anti-trust, executive compensation and employee benefits, securities and general litigation.
