banks and bank-holding companies, credit unions and credit union service organizations, savings and loan
associations, trust companies, mortgage companies and other suppliers of financial services. We provide
representation in the chartering, sale, merger and acquisition of banks, credit unions and other related
financial institutions, compliance with federal and state banking and credit union laws and regulations,
and interaction with federal and state regulatory agencies, including the Office of the Comptroller of
the Currency, the Federal Deposit Insurance Corporation and the National Credit Union Administration.
We represent financial institutions in many transactional areas, including inventory financing, floor plan
financing for automobile dealers, automobile and equipment leasing, commercial and consumer real estate
loans and all forms of asset-based financing and secured transactions. Representation is provided to
financial institutions in connection with the drafting and negotiation of data processing agreements,
software license agreements, computer system purchases, the sale of nondeposit investment products,
loan underwriting and servicing, indirect lending and leasing programs, trust services, and development
